Valitron Terms & Conditions

1. Definitions

• "Services" – The Valitron web-based interviewing software, APIs, and any related support or training.
• "Subscription Plan" – A fee-based package that includes a defined allowance of AI video interviews per billing cycle.
• "Free Interviews" – A limited number of interviews granted on account creation; Valitron may modify or withdraw this benefit at any time.
• "Credits" – Units representing the right to conduct one (1) interview. Overages occur when usage exceeds the allowance in your active Subscription Plan.
• "Candidate" – An individual you invite to complete an interview via the Platform.
• "User Content" – Any data, video, audio, text, or materials uploaded to or generated through the Services by you or a Candidate.

2. Account Registration

1. Eligibility. You must be at least 18 years old and have authority to bind the entity you represent.
2. Accurate Information. You agree to provide true, current, and complete registration information and to keep it updated.
3. Account Security. Keep your login credentials confidential. You are responsible for all activity that occurs under your account.

3. Subscription Plans, Free Interviews & Overages

1. Hybrid Model. Each Subscription Plan includes a monthly or annual allowance of interview Credits. Usage beyond that allowance incurs Overage Fees at the rates shown on our Pricing page.
2. Billing Period. Your subscription renews automatically at the start of each billing cycle unless cancelled in accordance with § 13.
3. Free Interviews. Free Interviews may expire if not used within 30 days of account creation and may be withdrawn or changed without notice.
4. No Refunds. All fees are non-refundable, including for unused Credits or partial periods.

4. Fees, Payment & Failed Charges

1. Automatic Billing. You authorise Valitron and its payment processor (Stripe) to charge the payment method on file for recurring subscription fees, Overage Fees, taxes, and any other charges incurred.
2. Taxes. Fees are exclusive of applicable taxes, which you must pay unless you provide a valid exemption certificate.
3. Failed Payments. If a charge is declined, we may retry, suspend your ability to initiate new interviews, and/or terminate the account. Interest may accrue on overdue amounts at 4% per annum above the Bank of England base rate.

5. Acceptable Use

You agree not to:

• Violate any law, regulation, or third-party right.
• Upload or generate User Content that is defamatory, hateful, discriminatory, harassing, obscene, sexually explicit or contains nudity.
• Introduce malware, scrape, or attempt to gain unauthorised access to the Platform.
• Use the Services to interview minors without verifiable parental consent.
• Reverse-engineer, decompile, or copy any part of the Platform for a competing product.
• Interfere with or disrupt the integrity or performance of the Services.

Valitron may remove or suspend any account for violations, at its sole discretion.

6. User Content & Data Ownership

1. Your Ownership. As between the parties, you (or your Candidates) retain all rights in User Content.
2. Licence to Valitron. You grant Valitron a worldwide, non-exclusive, royalty-free licence to host, process, transmit, reproduce, modify, distribute, and display User Content solely to:
   • (a) provide and improve the Services;
   • (b) develop analytics, models, and new features; and
   • (c) comply with law.
3. Recruiter Responsibilities. You represent that you have obtained all rights, consents, and notices required to lawfully submit User Content and allow Valitron to process it under these Terms.
4. Download Rights. You may download and store Candidate videos locally. Valitron is not responsible for your retention, security, or lawful use of such downloads.

7. Intellectual Property

The Platform, underlying software, AI models, and Valitron trademarks are and remain the exclusive property of Valitron and its licensors. Except for the limited licence expressly granted in § 6.2, no rights are transferred or implied.

8. Service Availability & Changes

1. As-Is. The Services are provided on an "as-is" and "as-available" basis with no uptime guarantee.
2. Modifications. We may modify or discontinue features at any time. We will use reasonable efforts to notify you of material changes.

9. Warranties & Disclaimers

1. No Hiring Advice. AI suitability scores and recommendations are informational only. Valitron does not guarantee accuracy, completeness, or fitness for hiring decisions.
2. No Warranty. To the maximum extent permitted by law, Valitron disclaims all warranties, express or implied, including non-infringement, merchantability, and fitness for a particular purpose.
3. AI Bias. You acknowledge that all automated systems may reflect biases. You are solely responsible for reviewing outputs and making employment decisions in compliance with applicable law.

10. Limitation of Liability

1. Cap. Valitron's total liability arising out of or relating to these Terms shall not exceed the greater of £100 or the fees you paid to Valitron in the 12 months preceding the claim.
2. Exclusion. Valitron shall not be liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits, data, or goodwill.
3. Exceptions. Nothing limits liability for death or personal injury caused by negligence or for fraud.

11. Indemnification

You will defend, indemnify, and hold harmless Valitron and its affiliates against any claim, loss, or expense arising from: (a) your breach of these Terms; (b) User Content; or (c) your use of the Services in violation of law.

12. Confidentiality

Each party must keep the other party's non-public information confidential and use it only to perform obligations under these Terms.

13. Term & Termination

1. Term. These Terms start when you accept them and continue until terminated.
2. Cancellation by Recruiter. You may cancel at any time through the Dashboard. Cancellation takes effect at the end of the current billing cycle or when all Credits are exhausted, whichever is later.
3. Suspension or Termination by Valitron. We may suspend or terminate your account immediately for non-payment, abuse, or material breach.
4. Effect of Termination. Upon termination, your right to access the Services ends. We will delete or anonymise User Content per our Privacy Policy, except that videos are auto-deleted after 30 days regardless.

14. Governing Law & Jurisdiction

These Terms and any dispute hereunder are governed by English law. The courts of England & Wales shall have exclusive jurisdiction, except that Valitron may seek injunctive relief in any jurisdiction.

15. Changes to Terms

We may revise these Terms from time to time. We will provide at least 10 days' notice by email or in-app alert. Continued use of the Services after the effective date constitutes acceptance of the updated Terms.

16. General

1. Assignment. You may not assign these Terms without our consent. We may assign them to an affiliate or successor.
2. Force Majeure. Neither party is liable for delays or failures due to events beyond reasonable control.
3. Severability. If any provision is found unenforceable, the parties will modify it to reflect their intention; the rest of the Terms remain in effect.
4. Entire Agreement. These Terms, the Privacy Policy, and any Order Form constitute the entire agreement and supersede all prior agreements regarding the Services.
